This Terms of Service Agreement ("Terms") governs your access to and use of the joinask.me website and related services (collectively, the "Services") operated by Joinask.me ("Joinask.me," "we," "us," or "our").

Joinask.me is a platform that connects fans ("Fans") with creators ("Creators") to facilitate paid, personalized responses (including text, audio, or video) to questions and prompts (collectively, "Responses"). By accessing or using the Services, creating an account, or submitting or accepting a request, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

1. Agreement to Terms

1.1 Binding Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines we post (collectively, the "Agreements"), form a legally binding agreement between you and Joinask.me regarding your use of the Services.

1.2 Acceptance

You accept these Terms when you:

• Access or use the Services,
• Create an account, or
• Submit, accept, or respond to a request.

If you are using the Services on behalf of a company or other entity, you represent and warrant that you are authorized to accept these Terms on behalf of that entity.

1.3 Updates to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top. In some cases, we may provide additional notice (such as by email or prominent notice on the site). Your continued use of the Services after any changes become effective means you accept the updated Terms.

2. Eligibility and Accounts

2.1 Eligibility

You may use the Services only if:

• You are at least 18 years old (or the age of majority in your jurisdiction),
• You can form a binding contract with Joinask.me, and
• Your use of the Services is not prohibited by applicable law (including sanctions or export control laws).

2.2 Account Registration

To use certain features, you must create an account. When you do, you agree to:

• Provide accurate, current, and complete information,
• Keep your information up to date, and
• Not create an account using a false identity or on behalf of someone else without authorization.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@joinask.me of any unauthorized use of your account or any other breach of security.

2.4 Account Types

• Fans use the Services to submit paid requests to Creators.
• Creators use the Services to receive, consider, and respond to requests from Fans.

We may, in our sole discretion, approve, reject, or remove Creator accounts.

2.5 Suspension or Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, if we reasonably believe:

• You have violated these Terms or our other policies,
• Your use creates risk or possible legal exposure for us, or
• Your account is inactive for an extended period.

You may close your account at any time by contacting support or using any available account deletion tools.

3. Description of the Services

3.1 Platform Overview

Joinask.me provides a marketplace where:

• Fans submit paid requests to Creators, including a question or prompt and any permitted context.
• Creators may accept, reject, or ignore requests at their discretion.
• Accepted requests are answered by Creators via text, audio, video, or other formats we support.

We are not a party to any direct contract between Fans and Creators beyond what is set forth in these Terms.

3.2 Nature of Creator Responses

Creators have discretion over how they fulfill a request, within the format and guidelines of the platform. Creators are not required to follow the Fan's instructions exactly, provided they deliver a response that is reasonably responsive to the request.

We do not guarantee:

• That a Creator will accept any particular request,
• That a Response will meet a Fan's expectations, or
• Any specific quality, length, or content beyond what is described on the site.

3.3 No Emergency or Critical Use

The Services are not designed for emergency, crisis, or time-sensitive communications. Do not use the Services to seek urgent help or critical advice. If you are in an emergency, contact local emergency services immediately.

3.4 Service Availability and Changes

We may, at any time and without notice:

• Modify, suspend, or discontinue any part of the Services,
• Introduce new features or impose limits on certain features, or
• Restrict access to some or all of the Services.

We do not guarantee that the Services will always be available, uninterrupted, or error-free.

4. Fan Requests, Orders, and Payments

4.1 Submitting a Request

To submit a request, a Fan will:

• Select a Creator,
• Compose a question or prompt (subject to acceptable use rules),
• Review the price and any applicable fees, and
• Provide payment details and confirm the order.

Once a request is submitted, the total amount (including applicable taxes and fees) will be authorized or charged as described at checkout.

4.2 Creator Acceptance and Expiration

Creators may:

• Accept a request,
• Decline a request, or
• Allow the request to expire after a period of time posted on our site or in the Creator's settings.

If a Creator declines or fails to respond within the applicable timeframe, we may cancel the request and process a refund or credit in accordance with our policies.

4.3 Pricing and Fees

• Creators may set their own prices, subject to any minimums, maximums, or guidelines we establish.
• We may charge Fans additional service or processing fees, which will be disclosed at checkout.
• Prices and fees are subject to change at any time, but changes will not affect orders already placed.

4.4 Payment Processing

Payments are processed by third-party payment processors that we select. By submitting payment information, you authorize:

• Our payment processor to charge your payment method for the total amount of your order, and
• Us to receive and distribute funds as described in these Terms.

We do not store full credit card numbers on our servers, and your use of any payment processor is subject to their terms and privacy policies.

4.5 Refunds and Cancellations

Because Fans are paying for personalized content:

• If a Creator fails to respond within the specified timeframe or the request is canceled by Joinask.me or the Creator, we will generally refund the Fan or issue a credit, as described in our then-current refund policy.
• If a Creator provides a Response, refunds are generally not available, even if the Fan is dissatisfied with the style, length, tone, or content, so long as the Response is reasonably responsive and does not violate our policies.

We reserve the right to:

• Review and determine refund eligibility on a case-by-case basis, and
• Adjust our refund policy from time to time.

4.6 Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute:

• We may suspend or terminate your account or restrict your ability to place future orders.
• We may provide documentation to the payment processor or card issuer to contest the dispute.

You agree to cooperate with any investigation and not abuse chargeback mechanisms.

4.7 Tips and Gratuities (If Enabled)

If we enable tipping functionality:

• Fans may choose to add a tip to support Creators.
• Tips are generally non-refundable unless required by law.
• We may retain a portion of tips as a platform fee, which will be disclosed in our fee schedule.

5. Creator Earnings and Relationship

5.1 Creator Earnings

Creators may earn a share of amounts paid by Fans for accepted and completed requests, after deduction of:

• Platform fees,
• Payment processing fees, and
• Any applicable taxes that we are required to withhold.

The exact breakdown and payout schedule will be described in your dashboard or in Creator-specific materials.

5.2 Payouts

• Payout methods (for example, bank transfer, third-party wallets) are provided through third-party payment services.
• You are responsible for ensuring your payout information is accurate and up to date.
• We are not responsible for delays, failures, or errors caused by third-party payout providers.

5.3 Creator Taxes

Creators are solely responsible for:

• Reporting and paying any income, sales, or other taxes arising from their earnings, and
• Complying with all tax laws and regulations in their jurisdiction.

Where required by law, we may issue tax forms or reports and may withhold applicable taxes.

5.4 Independent Contractor Status

Creators are independent contractors, not employees, agents, or partners of Joinask.me. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship.

6. Licenses and Intellectual Property

6.1 Ownership of Creator Content

As between Creator and Joinask.me: Creators retain ownership of their original content, including Responses, subject to the licenses granted below.

6.2 License from Creator to Joinask.me

Creators grant Joinask.me a non-exclusive, worldwide, royalty-free, sublicensable license to:

Host, store, reproduce, modify, adapt, translate, transmit, display, and distribute Creator content (including Responses) as necessary to operate and promote the Services, including:

• Delivering content to Fans;
• Displaying samples, previews, and thumbnails;
• Promoting the Creator's profile and the platform in general (for example, in non-misleading marketing materials for Joinask.me).

6.3 License from Joinask.me/Creator to Fan (Response License)

When a Fan pays for a Response, and the Creator completes it, the Fan receives a limited license to use that Response:

The Response is licensed, not sold. All rights not expressly granted are reserved by Joinask.me and the Creator.

6.4 User Content (All Users)

"User Content" includes any text, images, audio, video, or other materials that any user (Fan or Creator) submits, uploads, or otherwise provides through the Services (excluding personal information governed by the Privacy Policy).

You grant Joinask.me a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content as needed to operate the Services and as otherwise described in these Terms and the Privacy Policy.

You represent and warrant that:

• You own or have all necessary rights to your User Content,
• Your User Content and its use by us as permitted by these Terms does not violate any law or any third-party rights.

6.5 Joinask.me Intellectual Property

The Services, including the site design, software, logos, trademarks, and all other content created by or for Joinask.me (excluding User Content) are owned by or licensed to Joinask.me and are protected by intellectual property laws.

We grant you a limited, non-exclusive, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services except as expressly permitted by these Terms or applicable law.

7. Acceptable Use and Community Standards

7.1 Prohibited Content

You may not submit or share any User Content that:

• Is illegal, fraudulent, or deceptive;
• Contains hate speech, harassment, threats, or bullying;
• Promotes violence, self-harm, or exploitation;
• Contains sexually explicit content involving minors or non-consensual acts;
• Violates any third-party rights, including privacy, publicity, copyright, trademark, or other intellectual property rights;
• Includes sensitive personal data of third parties (such as full addresses, non-public contact information, or financial information) without their consent.

7.2 Prohibited Conduct

You agree not to:

• Attempt to circumvent payment mechanisms or conduct transactions for Responses off-platform;
• Impersonate any person or entity or misrepresent your affiliation;
• Use the Services to send spam or unsolicited communications;
• Reverse engineer, decompile, or otherwise attempt to extract source code from the Services;
• Interfere with or disrupt the Services or servers;
• Use automated tools (such as bots or scrapers) to access the Services, except as explicitly allowed by us.

7.3 Enforcement and Reporting

We may, but are not obligated to:

• Monitor access to and use of the Services;
• Review or remove User Content we believe violates these Terms or the law;
• Suspend or terminate accounts for violations.

8. No Professional Advice; Entertainment and Informational Use Only

8.1 No Professional-Client Relationship

Responses from Creators:

• Are not medical, legal, financial, therapeutic, or other professional advice;
• Do not create a professional-client or fiduciary relationship of any kind.

8.2 Entertainment and General Information Only

Responses are intended for entertainment and general informational purposes only. You should not rely on a Response for critical decisions. Always seek advice from qualified professionals for medical, legal, financial, or other professional matters.

8.3 No Emergency Use

The Services must not be used for emergencies or crisis situations. If you need urgent help, contact local emergency services or a qualified professional immediately.

9. SMS, Email, and Notifications

9.1 Transactional Communications

By providing your email address or phone number, you consent to receive transactional communications from us, including:

• Account verification codes and login links,
• Notifications that a Creator has accepted or responded to your request,
• Important service or policy updates.

9.2 SMS/MMS Program

If you opt in to receive SMS or MMS messages:

• Message frequency will vary based on your activity.
• Standard message and data rates may apply.
• Mobile carriers are not liable for delayed or undelivered messages.

You can opt out of non-essential SMS at any time by replying "STOP". For help, reply "HELP" or contact support@joinask.me.

9.3 No Sale or Sharing of Mobile Data for Marketing

As further described in our Privacy Policy:

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

9.4 Email Preferences

You can opt out of non-essential marketing emails using the "unsubscribe" link in our emails. We may still send you important transactional or service emails even if you opt out of marketing communications.

10. Third-Party Services and Links

The Services may contain links to third-party websites, apps, or services (for example, payment processors or social platforms). We do not control and are not responsible for:

• The content, policies, or practices of third-party services, or
• Any third-party terms you may agree to when using their services.

Your use of third-party services is solely at your own risk and is governed by their terms and privacy policies.

11. Termination

11.1 Termination by You

You may stop using the Services and close your account at any time. Some data may continue to be retained for legal, security, or operational reasons, as described in our Privacy Policy.

11.2 Termination or Suspension by Us

We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including:

• Violations of these Terms,
• Suspected fraud or misuse, or
• Legal or regulatory requirements.

11.3 Effect of Termination

Upon termination:

• Your license to use the Services ends;
• We may retain and continue to use certain User Content as permitted by these Terms and our Privacy Policy;
• Any existing Response licenses already granted to Fans remain in effect.

12. Disclaimers

12.1 "As Is" and "As Available"

The Services, including all content provided by Creators or other users, are provided "as is" and "as available", without warranties of any kind, express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties regarding the accuracy, reliability, or completeness of any content;
• Warranties that the Services will be uninterrupted, secure, or error-free.

12.2 User and Creator Responsibility

You are solely responsible for:

• Your interactions with other users,
• Your decisions based on any content or Responses, and
• Any consequences of those decisions.

We do not endorse or verify any statements, opinions, or content provided by users or Creators.

13. Limitation of Liability

To the fullest extent permitted by law:

13.1 Exclusion of Certain Damages

Joinask.me and its owners, officers, employees, and agents will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages,
• Loss of profits, revenue, goodwill, or data,
• Whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

13.2 Liability Cap

Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed:

The greater of (a) the amounts you paid to Joinask.me in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

13.3 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Joinask.me and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services,
• Your User Content,
• Your violation of these Terms, or
• Your violation of any rights of another person or entity.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us in that defense.

15. Dispute Resolution and Arbitration

This section may significantly affect your rights. Please read it carefully.

You and Joinask.me agree to attempt to resolve disputes informally first.

15.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at support@joinask.me and provide a brief written description of the dispute and your contact information. We will attempt to resolve the dispute informally within a reasonable time.

15.2 Agreement to Arbitrate

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding, individual arbitration, rather than in court.

Arbitration will be conducted before a single arbitrator under the rules of a recognized arbitration provider (for example, JAMS or the American Arbitration Association), as agreed by the parties or designated by the court.

15.3 Class Action and Jury Trial Waiver

To the fullest extent permitted by law:

• You and Joinask.me agree that all disputes will be resolved only on an individual basis and not as a class, collective, consolidated, or representative action.
• You and Joinask.me waive any right to a jury trial.

If a court or arbitrator determines that the class action waiver is unenforceable as to a particular claim, then that claim must be brought in court, not in arbitration.

15.4 Opt-Out

If you do not wish to be bound by the arbitration agreement in this Section, you may opt out by sending written notice to support@joinask.me within thirty (30) days of first accepting these Terms. Your opt-out will not affect any other provisions of these Terms.

Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief in court where appropriate.

16. Governing Law and Venue

16.1 Governing Law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules.

16.2 Venue for Non-Arbitrable Claims

If a dispute is not subject to arbitration (for example, because the arbitration agreement is held unenforceable as to that dispute), the parties agree that the exclusive jurisdiction and venue will be the state or federal courts located in Sheridan, Wyoming, and you consent to the personal jurisdiction of those courts.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Joinask.me regarding the Services and supersede any prior or contemporaneous understandings.

17.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms will not be a waiver of our right to enforce that provision in the future.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

17.5 Headings

Headings are for convenience only and do not affect the interpretation of these Terms.
